Versarien – nearly time to deliver

Earlier this month Haydale Graphene (HAYD) released an announcement with the headline: Haydale Awarded Funding to Develop Airbus Approved Space Technology, in which a contract awarded by the European Space Agency was proudly proclaimed. The size of both the funding and the contract were not disclosed as is usually the case with these trifling disclosures and the Haydale share price (sub 2p) scarcely moved, leaving its market cap little changed at around £5 million. It struck me, however, that had Versarien (VRS) - market cap £167 million - made an identical RNS the market cap would probably have risen, at least temporarily, by several times that of Haydale’s total worth, such is the fervour that the company still inspires amongst its loyal retail following. But the point at which Versarien must start to deliver is approaching...

On 21 January, joke graphene company Versarien (VRS) published interim results which misled investors as to its net debt position by classifying a £1.96 million (illegal) Government loan as a trade payable not as a loan. Having deceived folks with this presentation, loathsome boss Neill Ricketts was again selling shares, this time 1.65 million of them.  Now, after I complained to the Oxymorons at AIM Regulation and hapless Nomad SP Angel of fraud MySquar infamy, Versarien has ‘fessed. But even so, it does so in a misleading and deceptive fashion reinforcing why its shares are so utterly uninvestable.

Finally, a week after publishing dreadful results Versarien (VRS) has published its full annual report for the 18 months to 30 September 2022. When this company goes bust, what it was hiding will be used to drag it and auditors BDO through hell and back, via the FRC. The main issue is goodwill and the balance sheet but there is also the pay rise loathsome Neill Ricketts was given.

Versarien and par value – making a refinancing ever harder: target price still 0p

I appear to have overlooked the fact that par value for shares in Versarien (VRS) is 1p. That means that new shares cannot be issued at below that whatever the company says about being able to issue equity. As of today, after the most recent dismal warning the bid is…1p. Clearly any placing would have to be at a massive discount so what gives?

On 23 March 2020, POS AIM promote Versarien (VRS) announced “ subscription to raise £6 million”. Natch the headline was misleading and indeed Versarien was forced to issue a clarification at a later date.  On 16 October, the lies started to reveal themselves big time.

And so today, after shameless ramping this website exposed HERE, HERE and HERE, a bailout placing is announced, though raising just £1.85 million gross, call it £1.7 million net, at just 10p. Where does one start?

Versarien – The 4th placing in 2024 and the company should still go bust in February

After the pump pf a meaningless corporate update what the hell did you expect to happen? Today Versarien (VRS) undertook its 4th placing in 2024, raising just £450,000 at a mere 0.0325 pence per share. If you think that this is the last I have a bridge to sell you.

BREAKING: Versarien – inadequate revenue disclosures, breach of IFRS 8 & cash nightmare

Let’s start with a positive.  Versarien (VRS) now separates its revenues and losses between graphene and non-graphene business as we have long suggested it should do.  This avoids the need for Shareprophets to undertake an annual visit to Companies House to perform the analysis to reveal the low ongoing graphene sales and the scale of the losses that are being racked up in this business.

It appears that a second charge has been registered at Companes House by taxpayer-backed Innovate UK for its £5 million loan to Versarien (VRS). This means that if Versarien defaults, taxpayers may well not get all their cash back. That on its own seems a clear breach of Innovate UK rules and a reason why this loan should not be made. But there is worse. In its quite atrocious results today, Versarien itself gives a reason for why the loan application is illegal. Lucian Miers has written to Business Secretary Alok Sharma to flag this up.

Why do such a fund raise now folks ask? Because it can is the reason, thanks to thuggish share plugging involving bent journalism and forward selling, Versarien (VRS) has an extra £275,000 net cash. Versarien says it is going to be spent on growth opportunities and working capital but that is obviously a lie. Some may go on funding ongoing losses. It could go on giving Neill Ricketts a £197,000 payoff. Or….

There has been a concerted attempt by Versarien (VRS) to ramp its shares in recent weeks. The reason, though it has yet to ‘fess to it is that it will be out of cash, burning cash and having stiff debts to support by Christmas. It clearly needs to do an emergency placing fast, hence the ramping.  Let’s start with the just released video below starring lovable scouse oaf Craig Phillips, the winner of Big Brother 2001.
