On 17th December recruitment group ReThink (RTG) showed itself as a true posterboy for the AIM Cesspit by issuing a shed load of options which almost cannot but fail to hand free money to the board but the scandal is much worse as I can reveal today.

I look forward to hearing news of Mr Wrights resignation in due course . Such shameful shabby behaviour . What does he think shareholders are ? his own personal bank account I presume

Chances of Steve doing the “wright thing” – nil.
Chances of the regulator doing anything? Nil.
But at least when his kids google their dad they will see what he is like & I shall be making him work for his money by giving him a horrid time at the agm

Er.. yes… But then what Wright has done is what every board on AIM does. Can you mention any – ANY Bod at all – that doesn’t do this? What is the point of naming and shaming the odd one? The non-execs will have waved this through with a smirk, and most shareholders will vote for the BoD come what may. Maybe – a heretical thought – this is how the game OUGHT to be played. The AIM regulators think so! Look Tom, just list shareprophets on AIM and then sit back and enjoy your options for ever and a day. Just copy what they do!

Not every board behaves this way. I note, for instance, VIY – in which I own shares – where the new board had given itself loads of options at 0.1p ( the same price as the current placing & open offer) and a discount to the 0.18p sp. BUT the options only vest if the sp trades at above 0.5p for 30 straight days.
In this case will investors complain if the board makes a killing? No becuase they will have themselves made a gain of 400% ( on shares taken up in the open offer) or 180% ( on shares bought in the market today). If you have made 180-400% do you care if directors make money on options? No. Your interests are aligned.
With RTG the actions of Mr Wrong show total misalignment.
I agree far too many BODs take the piss. I will work my way through the lot of them from the privacy of a privately owned company!

2010 is wrong ………….so wrong
The bod have a legal responsibility to act in the best interest of share holders . That means realistic renumeration and incentive schemes which only pay out on an increase in share price that more than counters any dilution.
next 2010 will be telling us that benefit fraud is fair game .
