On Friday AIM Cesspit listed Optimal Payments (OPAY) announced the departure of its Chief Financial Officer (CFO) and director, Mr Keith Butcher – one of just two executive directors on the board. As discussed HERE he had been selling down his holding at above the current share price earlier in the year. The news saw the shares fall an impressive 12.9%.

I have done a little digging into Brian and I do not believe the RNS has made a proper disclosure of his past directorships.
My understanding is they have to announce any current directorships, any directorships held in the previous 5 years and, most important of all, any directorships of any companies that when bust within 1 year (may have been increased to 2 years?) of the person leaving the board no matter how long ago this was.
Telecity Finance Ltd, Telecity Investments Ltd and Telecity Holdings Ltd all were liquidated and then dissolved in 2008 / 9 whilst he was on the board (may not be his fault but should have been disclosed so people can check – I think they were zombie companies when he took over), Plus his directorships with Data Electronics group have not been disclosed and he retired from them on 31 Jan 14.
I can’t find all that much that is worthy of red flag about him, just the non disclosure which is fairly nit picky compare to other non disclosures! His other current directorship – Robert Walters PLC seems to be doing ok, but he has only been there since May 13 and the real test will be how it has done to Dec 14.
