At Saturday’s Sharestock Adam Reynolds of Probiotix (PBX) was grilled on the exact timeline of communications between Probiotix and Optibiotix (OPTI) between September 3 and October 10 last year. If Reynolds is telling the truth and I believe that he is and that any scrutiny of phone and email records will demonstrate that then Neil Davidson, the chairman of Optibiotix (OPTI) has deceived investors in 2024 and lied to the AGM this year. Yesterday I told you about how Optibiotix (OPTI) CEO Steve O'Hara angrily refused to say what his son Tom did at Optibiotix (OPTI). He might do a great job but when you have a kid on the payroll and also fund his MBA you need to be transparent. Now I know what Tom does and I am afraid that begs real questions of his Daddy.
In light of the clear timeline provided in my earlier bearcast showing the attempted cover-up of market manipulation on October 10 last year, I have written to the Oxymorons at AIM Regulation suggesting that they need to step in to force the immediate resignation of Optibiotix (OPTI) Chairman Neil Davidson.
Shockingly, Optibiotix (OPTI) has still to release the votes from its AGM but, as I suspected, resolution 5 failed to get passed. It is almost as if the board views shareholders with contempt. More on that later and on the next steps. I hope you enjoyed my own first take on what happened, I have had more thoughts on that since. But here is the take from Lemming Junior. Thus seems simple enough to me and I am confident that my good ppals at the Financial Reporting Council will act which makes it ever more insane that anyone should cast an AGM vote in favour of retaining the hapless FD and auditors. The letter reads:

But they also raise big questions about the integrity of CEO Lyin' Steve O'Hara. Any shareholder NOT voting against resolutions 2,3,4 and 5 at the AGM after reading this article below is now demonstrably insane.
This will not be a good weekend for the board at Optibiotix (OPTI). Already facing a possible FCA Enquiry into allegations of market manipulation by chairman Neil Davidson, I will later expose the numerous IFRS breaches in the 2024 Annual Report which will see the company and its clueless FD David Blain reported to the FRC. Meanwhile more and more votes are being cast against the board electronically ahead of the AGM. I sense we might be at 5% already and urge you to vote as I explain HERE. But first, why Steve O’Hara is to be reported to AIM Regulation and the FCA. He lied blatantly in an RNS.
When I first threatened to call an EGM to replace a number if not all of the directors of Optibiotix (OPTI) but certainly Neil Davidson and the gimp NED Sean Christie, Lyin’ Steve O Hara begged me not to bother as “all the directors will be up for re-election at the AGM”. I thought this unlikely but could not believe that even Lyin’ Steve would tell such a barefaced lie so maybe what sits in my notes was true. Well guess what?
Thankfully Optibiotix (OPTI) has a new FD so will not be late with regulatory filings so picking up a small fine to add to the cashburn. Oh er....
In the 2023 half year report published in September of that year Optibiotix (OPTI) boasted that “The Board took decisive action in December 2022 and in H1 2023 to reduce Board, management and advisory costs in order to ensure each part of the business and subsequently the Group achieve operational profitability as soon as possible.” Specifically we were told that director pay for 2023 was cut by 20%. We learned that by RNS.
I am grateful to a man from the world of compliance for helping craft the letter below which has gone to the FCA but also to AIM Regulation and hapless Nomad Liam “the Toke” Murray at Cairn Financial about market abuse at Optibiotix (OPTI). If chairman Neil Davidson cared about the company he would step down at once but having awarded himself a 50% pay rise to £66,000 ( for 2 days a month) in 2024, why would he?
I am told by folks close to Optibiotix (OPTI), not CEO Lyin’ Steve O Hara who would rather brief against me than deal with numerous corporate governance failures, that results will arrive on deadline day Monday. So the shares will not be suspended although why it takes a company with sub £1 million sales six months to get its numbers ready is a matter of shame, another corporate governance fail.
